Please read these Terms and Conditions (“Terms”) carefully. By engaging Implixo for any service, accepting a proposal or quotation, paying an advance, or using our website, you (“Client”, “you”, “your”) agree to be bound by these Terms. If you do not agree, please do not engage our services.
These Terms apply together with the proposal, quotation, or statement of work issued for your project (“Proposal”). If there is a conflict between these Terms and a Proposal, the Proposal prevails for that project only.
1. Definitions
- Services: Mobile application development (Android, iOS, Flutter, Hybrid, React Native), web development, UI/UX design, AI-powered features and automations, CRM/ERP and custom software, and related support and maintenance services offered by Implixo.
- Deliverables: The app, website, software, designs, source code, documentation, or other outputs described in the Proposal.
- Project: The specific engagement described in a Proposal.
- Fees: The amounts payable for the Services as stated in the Proposal.
2. Services and Scope
2.1. Implixo provides the Services described in the Proposal. Anything not expressly listed in the Proposal is out of scope and, if requested later, will be treated as a change request under Section 5.
2.2. We work on the basis of the requirements, features, and platforms agreed in the Proposal. If requirements are unclear or change during the Project, we will confirm the impact on scope, timeline, and Fees before proceeding.
2.3. Implixo reserves the right to use its own tools, libraries, frameworks, and third-party components in delivering the Services, provided the Deliverables meet the agreed requirements.
3. Proposals, Quotations, and Acceptance
3.1. A Proposal or quotation is valid for the period stated in it (or 30 days if no period is stated), after which prices and timelines may be revised.
3.2. A Project begins only after (a) you accept the Proposal in writing (email is sufficient), and (b) any advance payment stated in the Proposal has been received.
3.3. Estimates are based on the information you provide. If that information is incomplete or inaccurate, the scope, timeline, and Fees may change, and we will inform you before incurring additional cost wherever reasonably possible.
4. Client Responsibilities
To deliver on time and to specification, you agree to:
4.1. Provide accurate requirements, content (text, images, logos, data), and feedback in a timely manner.
4.2. Provide access to accounts, systems, and credentials needed for the Project (for example, app store accounts, hosting, APIs, and third-party services), and keep those credentials secure.
4.3. Appoint a single point of contact authorised to give approvals and feedback on your behalf.
4.4. Ensure that all content and materials you supply are owned by you or properly licensed, and do not infringe any third-party rights or break any law.
4.5. Review Deliverables promptly when shared for approval. If no feedback or approval is received within the period stated in the Proposal (or 7 working days if none is stated), the Deliverable may be treated as accepted for the purpose of moving to the next phase, without waiving your right to report genuine defects.
5. Changes to Scope (Change Requests)
5.1. Any change to agreed features, platforms, designs, or scope must be requested in writing and agreed by both parties.
5.2. We will provide a revised estimate of additional Fees and timeline impact before implementing a change. Work on the change begins only after your written approval of that estimate.
5.3. Small clarifications that do not affect scope, effort, or timeline are not treated as change requests.
6. Timelines
6.1. Timelines in a Proposal are estimates based on timely feedback and inputs from you. They are not guarantees of a fixed delivery date unless expressly stated as such in writing.
6.2. Delays caused by late feedback, late content, late approvals, or unavailability of your inputs extend the timeline by at least the same period, and may require rescheduling of our team.
6.3. We will keep you informed of progress and of any delay on our side as soon as reasonably possible.
7. Communication, Unresponsiveness, and Abandoned Projects
7.1. Projects depend on two-way communication. If we are waiting on your feedback, approval, content, or payment, we will follow up with you through the contact details you provided.
7.2. No fee for unresponsive clients who leave midway. If you stop responding to our communications and leave the Project midway — that is, you disengage without formally cancelling and without completing the Project — Implixo will not charge you any cancellation fee, abandonment fee, or penalty, and will not charge you any further Fees for work that has not been done.
7.3. For the purposes of this clause, a Project is treated as abandoned if we receive no response from you for 30 consecutive days despite at least two follow-up attempts through your provided contact details. [Confirm the 30-day period and number of follow-ups match your practice before publishing.]
7.4. On abandonment: (a) all work on the Project stops; (b) no further Fees are charged; (c) Fees already paid for completed milestones or delivered work are non-refundable (see Section 9); (d) any Deliverables already delivered remain subject to Section 11 (Intellectual Property), including that full ownership transfers only on full payment of the Fees for those Deliverables.
7.5. Re-engagement: If you return after abandoning a Project, we will be glad to resume where possible, subject to team availability. Because requirements, platforms, and pricing may have changed, a resumed Project may require a revised Proposal and timeline. No reactivation or penalty fee is charged for resuming; you only pay the Fees in the revised Proposal for the remaining work.
7.6. This no-fee abandonment policy is a goodwill policy of Implixo. It does not waive amounts already due for completed and delivered milestones, and it does not apply where the Project was terminated by Implixo for breach under Section 15.
8. Fees, Invoicing, and Payment
8.1. Fees are as stated in your Proposal, which will set out the payment structure (for example, advance payment and milestone payments).
8.2. Unless the Proposal states otherwise, invoices are payable within the period stated on the invoice. Time is of the essence for payment.
8.3. All Fees are exclusive of applicable taxes (including GST, where applicable), which will be charged in addition at the prevailing rate, unless the Proposal states that a price is tax-inclusive.
8.4. Prices are quoted in the currency stated in the Proposal. Currency conversion charges, bank charges, and payment gateway charges are borne by you.
8.5. If a payment is overdue, we may, after notifying you: (a) pause work on the Project until payment is received; (b) charge interest on the overdue amount at a reasonable commercial rate permitted by law; and (c) withhold delivery of further Deliverables until the account is settled. Pausing work for non-payment extends the timeline accordingly and is not a breach by Implixo.
8.6. All payments made are recorded against your Project. Please retain your payment receipts and share them with us if a payment is not reflected in our records.
9. Refunds and Cancellations
9.1. General rule: Fees paid for work already completed, milestones already delivered, or services already rendered are non-refundable, because the effort and cost have already been incurred.
9.2. Cancellation by you: You may cancel a Project at any time by written notice. On cancellation: (a) work stops; (b) you pay for all work completed up to the cancellation date and any non-recoverable third-party costs already incurred on your behalf; (c) no cancellation fee is charged; and (d) any advance payment exceeding the value of completed work and incurred costs will be refunded within a reasonable time.
9.3. Abandonment by you: If you stop responding and leave the Project midway, Section 7.2 applies — no cancellation or abandonment fee is charged, and no further Fees are charged for uncompleted work.
9.4. Cancellation by Implixo: We may cancel a Project under Section 15. In that case, Section 15 sets out what is payable and refundable.
9.5. Refunds, where due, are made to the original payment method wherever possible and within a reasonable time after the final account is agreed.
10. Third-Party Services, Accounts, and Costs
10.1. Some Deliverables depend on third-party services, including app stores (Apple App Store, Google Play), hosting providers, payment gateways, SMS/email providers, mapping services, and AI APIs. Accounts for these services must generally be created in your name, and their fees, subscriptions, and usage charges are your responsibility unless the Proposal states otherwise.
10.2. You are responsible for complying with the terms of those third-party services, including app store guidelines, and for any fees or penalties they impose.
10.3. Implixo is not responsible for changes, price increases, suspensions, or discontinuation of third-party services, or for delays caused by third-party review processes.
11. App Store Approval
11.1. Submission to the Apple App Store or Google Play does not guarantee approval or publication. Both platforms review apps against their own guidelines and may reject, delay, or request changes to an app.
11.2. If an app is rejected, Implixo will make reasonable efforts to address the stated reasons where they relate to our development work. Rejection by a platform, changes to platform policies, or removal of an app by a platform is not a breach by Implixo and does not entitle you to a refund of Fees for completed work.
12. Intellectual Property
12.1. On full payment: Upon receipt of full payment of the Fees for a Deliverable, all intellectual property rights in that Deliverable created specifically for you transfer to you, except for the items in 12.2 and 12.3.
12.2. Implixo’s pre-existing materials: Implixo retains all rights in its pre-existing tools, libraries, frameworks, templates, know-how, and generic components used across projects. You receive a non-exclusive, royalty-free licence to use those materials as embedded in your Deliverables.
12.3. Third-party materials: Rights in third-party software, libraries, and content incorporated into Deliverables remain with their respective owners and are subject to their licences.
12.4. Before full payment: Until full payment is received, all Deliverables remain the property of Implixo, and you are granted no licence to use, publish, or distribute them beyond evaluation for acceptance, unless otherwise agreed in writing.
12.5. Portfolio use: Unless you object in writing before launch, Implixo may refer to your project in its portfolio, case studies, and marketing materials, using your name, logo, and non-confidential descriptions and screenshots of the public-facing Deliverables. You may withdraw this permission at any time by written notice, and we will remove such references within a reasonable time.
13. Confidentiality
13.1. Each party agrees to keep confidential all non-public information disclosed by the other in connection with a Project, and not to use it except to perform its obligations.
13.2. Confidentiality does not apply to information that is already public, was already known to the receiving party, is independently developed, or is required to be disclosed by law or a court order (in which case the disclosing party will be informed where legally permitted).
13.3. This obligation continues for 2 years after the end of the Project.
14. Warranties and Post-Launch Support
14.1. Implixo warrants that the Services will be performed with reasonable skill and care, and that Deliverables will materially conform to the agreed requirements at the time of delivery and acceptance.
14.2. Support period: Unless the Proposal states a different support period, Implixo will fix, free of charge, genuine defects in our own development work reported within 30 days of delivery or launch, whichever is later. [Confirm the 30-day period matches your practice before publishing.]
14.3. The warranty in 14.2 does not cover: (a) issues caused by your content, data, or third-party services; (b) changes you or another party make to the Deliverables after delivery; (c) new features or enhancements (these are chargeable); (d) platform, device, or operating system updates released after delivery; or (e) misuse or use outside the agreed requirements.
14.4. Ongoing maintenance, updates, and support beyond the support period are available under a separate maintenance arrangement at agreed Fees.
15. Suspension and Termination
15.1. By you: You may terminate a Project at any time by written notice, subject to Section 9 (Refunds and Cancellations).
15.2. By Implixo: We may suspend or terminate a Project by written notice if: (a) a payment is overdue by more than 30 days after notice; (b) you breach these Terms or the Proposal and fail to remedy the breach within 14 days of notice; (c) you provide unlawful content or require us to do anything unlawful; or (d) continuing the Project becomes technically or legally impossible.
15.3. On termination by Implixo for breach or non-payment, you remain liable for work completed up to termination and non-recoverable costs incurred. On termination for any other reason, Section 9.2 applies.
15.4. Termination does not affect rights and obligations that have already accrued, or clauses that are intended to survive (including confidentiality, intellectual property, limitation of liability, and governing law).
16. Limitation of Liability
16.1. Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited by law.
16.2. Subject to 16.1, Implixo’s total aggregate liability arising out of or in connection with a Project is limited to the total Fees actually paid by you for that Project.
16.3. Implixo is not liable for any indirect, incidental, or consequential loss, including loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, whether arising in contract, tort, or otherwise, even if advised of the possibility of such loss.
16.4. You acknowledge that Deliverables depend on third-party platforms, devices, networks, and services outside Implixo’s control, and Implixo is not liable for failures or losses caused by those factors.
17. Indemnity
17.1. You agree to indemnify and hold harmless Implixo, its directors, employees, and contractors against any claims, losses, damages, and reasonable costs arising from: (a) content, data, or materials you supply; (b) your use of the Deliverables in breach of these Terms or any law; or (c) your breach of third-party rights or platform terms.
17.2. Implixo agrees to indemnify you against claims that a Deliverable created by Implixo infringes a third party’s intellectual property rights, provided you notify us promptly, allow us to control the defence, and do not settle without our consent. This indemnity does not apply to the extent the claim arises from your content, your modifications, or third-party materials.
18. Privacy and Data Protection
18.1. How Implixo collects and uses personal data — including data from advertisements and lead forms, and our practice of calling back leads — is described in our GDPR Compliance & Data Protection page at implixo.com, which forms part of these Terms.
18.2. Where you provide us with personal data of others (for example, your employees or customers), you confirm you have the right to do so and that those individuals have been informed as required by applicable law.
19. Non-Solicitation
19.1. During a Project and for 12 months after its completion, you agree not to directly solicit for employment any Implixo employee or contractor materially involved in your Project, without our prior written consent. This does not prevent general recruitment advertising or hiring a person who applies unsolicited.
20. Force Majeure
Neither party is liable for failure or delay in performing its obligations (other than payment obligations) where the failure or delay is caused by events beyond its reasonable control, including natural disasters, epidemics, war, government actions, internet or power failures, or platform outages. The affected party will notify the other as soon as reasonably possible, and timelines will be extended accordingly.
21. Governing Law and Disputes
21.1. These Terms and any Project are governed by the laws of India.
21.2. The parties will first attempt to resolve any dispute amicably through good-faith negotiation. If a dispute cannot be resolved within 30 days, it will be subject to the exclusive jurisdiction of the courts at Noida, Uttar Pradesh, India.
22. General Provisions
22.1. Entire agreement: These Terms, together with the Proposal, constitute the entire agreement between you and Implixo for the Project and supersede prior discussions, representations, and agreements on the same subject.
22.2. Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force, and the unenforceable provision will be read as narrowly as needed to make it enforceable.
22.3. Waiver: Failure to enforce any provision does not waive the right to enforce it later.
22.4. Assignment: You may not assign your rights or obligations under a Project without our prior written consent. Implixo may assign its rights and obligations in connection with a business transfer, on notice to you.
22.5. No partnership: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Implixo.
22.6. Notices: Notices under these Terms must be in writing and sent to the email addresses used in the Proposal (for Implixo: sales@implixo.com). Notices are deemed received when sent, unless a delivery failure is notified.
22.7. Electronic acceptance: Acceptance of a Proposal by email, electronic signature, or payment of an advance constitutes binding acceptance of these Terms.
23. Changes to These Terms
Implixo may update these Terms from time to time. The version in force at the time you accept a Proposal applies to that Project. Material changes will be reflected by updating the “Last updated” date at the top of this page, and the current version will always be available on our website.
